Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Innovation Invocation Technologies Inc. ("Company," "we," "us," or "our") governing your access to and use of the NovaParking platform, including our website at innoinvo-ca.com/home/novaparking and our mobile applications (collectively, the "Platform").

By accessing or using the Platform, you accept and agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Binding Agreement & Modifications

These Terms form a binding agreement between you and the Company. We reserve the right to modify these Terms at any time at our sole discretion. Changes will be effective upon posting to the Platform. Your continued use of the Platform after any modifications constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

2. Account Registration & Security

To access certain features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your login credentials confidential and secure
• Accept full responsibility for any activity that occurs under your account
• Notify us immediately of any unauthorized use of your account

The Company reserves the right to disable any account at its discretion, including for violation of these Terms.

3. Marketplace Structure

NovaParking operates as a peer-to-peer marketplace that facilitates connections between individuals offering parking spaces ("Hosts") and individuals seeking parking ("Renters"). The Company:

• Does not own, operate, or control any parking spaces listed on the Platform
• Is not a party to any rental agreement between Hosts and Renters
• Does not guarantee the availability, quality, safety, or legality of any listed space
• Acts solely as an intermediary to facilitate transactions

4. Intellectual Property

All content on the Platform — including but not limited to text, graphics, logos, images, software, and the overall design — is owned by or licensed to the Company and is protected by Canadian and international intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any Platform content without our prior written permission, except for temporary caching by your browser and personal, non-commercial printing for your own use.

5. Host Responsibilities

As a Host, you represent and warrant that:

• You have the legal right to list and rent the parking space
• The space complies with all applicable municipal bylaws, zoning regulations, and lease or condominium restrictions
• All listing information (photos, descriptions, pricing, availability, access instructions) is accurate and not misleading
• You will not facilitate fraud or post false or misleading listings
• You will maintain the space in a condition consistent with your listing

6. Renter Responsibilities

As a Renter, you agree to:

• Use booked parking spaces only during confirmed reservation periods
• Follow the Host's access instructions and rules
• Not damage the parking space or surrounding property
• Vacate the space promptly at the end of your reservation

7. Vehicle Liability

NovaParking does not take possession, custody, or control of any vehicle parked through the Platform. Renters assume all risk associated with parking their vehicle. The Company provides no insurance coverage for vehicles or personal property. We strongly recommend verifying your own vehicle insurance coverage before using the Platform.

8. Payments & Fees

All payments on the Platform are processed through third-party payment processors (currently Stripe). By using the payment features, you agree to Stripe's terms of service. The Company may charge service fees for use of the Platform, which will be disclosed at the time of booking.

Host payouts are processed automatically through Stripe and typically arrive within 3–5 business days, subject to Stripe's processing timelines and any applicable holds.

9. Cancellations & Refunds

Bookings are generally non-refundable once confirmed, unless otherwise required by applicable Canadian law. The Company may, at its discretion, issue non-refundable wallet credits in certain situations. Specific cancellation policies applicable to individual listings will be displayed at the time of booking.

10. Overstay & Enforcement Fees

If a Renter occupies a parking space beyond their confirmed booking period without authorization, a suspension and enforcement fee of CAD $15 will be charged to the Renter's payment method on file. Repeated violations may result in account suspension or termination.

11. Prohibited Conduct

You agree not to:

• Misrepresent your identity or provide false information on the Platform
• Interfere with or disrupt the Platform or its servers or networks
• Attempt to gain unauthorized access to any part of the Platform or other users' accounts
• Use the Platform for any unlawful purpose or in violation of any applicable laws
• Post false, misleading, or fraudulent listings
• Harass, abuse, or harm other users of the Platform
• Use automated tools to access or scrape the Platform without our written consent

12. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

14. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Platform, your violation of these Terms, or your violation of any rights of another party.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Nova Scotia and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Halifax, Nova Scotia.

16. Termination

We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination shall continue to apply.
